1.Services

SalesMake provides a full-stack outbound infrastructure, appointment generation system, and related GTM services (collectively, the “Services”). Depending on your plan and Contract, the Services may include:

1.1 Technical Setup & Infrastructure

• Technical domain setup and email warm-up.

• Provision of custom domains for outbound campaigns.

• Setup and management of dedicated Google Workspace inboxes, configured for outreach.

• Full system integration across platforms.

1.2 Data & Lead Sourcing

Access to premium data providers, including but not limited to LinkedIn Sales Navigator, ZoomInfo, Apollo.io, Lusha, Clay, and additional sources as needed for campaign performance. SalesMake will source, filter, qualify, and enrich leads based on a jointly defined Ideal Customer Profile (“ICP”).

1.3 Messaging, Funnels & Automation

• Defining and refining the ICP.

• Creation of highly personalized cold email templates.

• A/B testing and continuous optimization of message sequences.

• Setup and management of email automation and sequencing platforms.

• Setup and management of LinkedIn automation and sequencing platforms.

• Setup and management of email verification to reduce bounce rates and protect domain reputation.

1.4 LinkedIn Outreach

Full LinkedIn profile setup and outreach execution.

1.5 Appointment Setting

End-to-end appointment setting services, including qualification and scheduling, with continuous optimization based on open rates, reply rates, and market feedback.

Performance disclaimer. Outbound marketing results depend on factors outside our control, including your offer, market conditions, deliverability, and prospect behavior. SalesMake provides Services on a best-efforts basis and does not guarantee any specific number of leads, appointments, replies, or revenue unless such a guarantee is expressly stated in writing in your Contract.

2.Term

Your engagement commences on the date stated in your Contract or, absent a Contract, on the date your first payment is processed. The engagement continues on a recurring basis and renews automatically each billing cycle until terminated in accordance with Section 5.

3.Fees, Subscription & Billing

The Services are provided on a recurring subscription. The applicable fee, currency, and billing cycle for your engagement are set out in your Contract and are payable at the beginning of each billing cycle.

By subscribing, you authorize SalesMake and our third-party payment processor to automatically charge your designated payment method the applicable fee on a recurring basis at the start of each billing cycle, without further action or authorization from you, until the subscription is canceled under Section 5.

• Authorization. You represent that you are authorized to use the payment method provided and authorize recurring charges to it.

• Automatic renewal. Each billing cycle renews automatically. The renewal charge will equal the then-current fee for your plan as set out in your Contract.

• Payment terms. The specific fees, billing cycle, currency, and payment schedule applicable to your engagement are outlined in your Contract, which controls in the event of any conflict with this summary.

• Failed payments. If a charge fails, we may retry the charge and may suspend or pause the Services until payment is received. You remain responsible for amounts due.

• Taxes. Fees are exclusive of any applicable taxes, which are your responsibility unless otherwise required by law.

• No refunds. All fees are non-refundable. Once a charge is processed, it will not be refunded in whole or in part, including for partial billing periods and the 30-day notice period described in Section 5, except where a refund is required by applicable law.

• No chargebacks. By subscribing, you agree not to initiate any chargeback, payment dispute, or reversal against SalesMake for authorized recurring charges. If you have a billing concern, you agree to contact SalesMake first to resolve it. Charges disputed in breach of this section may result in immediate suspension or termination of the Services, and you remain responsible for the disputed amounts and any related fees.

4.Confidentiality

Both parties agree to keep all proprietary, strategic, and client-related information confidential and not to disclose it to any third party without the other party’s prior written consent. Confidential information includes, but is not limited to: ICP details, lead lists, campaign data, and internal workflows. This obligation survives termination of the engagement.

5.Cancellation & Termination

30-day notice. Either party may terminate the engagement for any reason by providing 30 days’ written notice to the other party. Recurring charges continue, and Services remain active, throughout the 30-day notice period. Your subscription and automatic billing will stop at the end of that period.

To cancel, send written notice to SalesMake at the contact details below or through any cancellation method we make available. Cancellation takes effect 30 days after we receive your notice. Amounts already charged are non-refundable except as stated in your Contract or required by law.

6.Client Responsibilities & Acceptable Use

• Provide timely access to information, approvals, accounts, and materials reasonably needed to deliver the Services.

• Ensure your offer, claims, and any content you supply are lawful, accurate, and not misleading.

• Comply with all applicable laws governing electronic communications and outreach, including anti-spam and data-protection laws (e.g., CAN-SPAM, GDPR, and similar), and the terms of service of any third-party platforms used in your campaigns.

• Refrain from using the Services to send unlawful, deceptive, harassing, or infringing content.

7.Indemnification

Each party agrees to indemnify and hold the other harmless from any claims, damages, or liabilities resulting from the negligence or misconduct of the indemnifying party.

8.Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. SalesMake’s total aggregate liability arising out of or relating to the Services will not exceed the total fees paid by you to SalesMake in the three (3) months immediately preceding the event giving rise to the claim.

9.Governing Law

These Terms and any engagement are governed by and interpreted in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles.

10.General Provisions

10.1 Amendments

Any amendment or modification to a signed Contract must be in writing and signed by both parties. We may update these general Terms from time to time; the version in effect when you are charged for a billing cycle applies to that cycle.

10.2 Entire Agreement

Your Contract, together with these Terms, constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written, regarding the subject matter. In the event of a conflict, the signed Contract controls.

10.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
